Terms of Service

1. Definitions

• "Subscriber" means a paying organization or individual that has created a Ridge Messaging account to send SMS communications.
• "End Member" means a person whose phone number is added to a Subscriber's member list for the purpose of receiving SMS messages.
• "Platform" means the Ridge Messaging web application, API, and associated services provided by Mayberry Ridge LLC.
• "Content" means any message, text, or other material sent through the Platform by a Subscriber.

2. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your organization to use the Platform. By registering, you represent and warrant that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

3. Acceptable Use Policy

Subscribers may only use Ridge Messaging for lawful purposes consistent with these Terms. You agree not to use the Platform to:

• Send spam, unsolicited messages, or messages to recipients who have not provided valid prior written consent
• Send messages containing adult content, cannabis, firearms, illegal substances, hate speech, harassment, or deceptive content
• Violate any federal, state, or local law or regulation, including the TCPA and CAN-SPAM Act
• Impersonate any person, organization, or entity
• Transmit malicious code, viruses, or any content intended to damage or interfere with any system
• Attempt to circumvent carrier filtering, spam detection, or platform security measures
• Re-contact any End Member who has sent a STOP or equivalent opt-out message

4. TCPA Compliance — Subscriber Responsibility

The Telephone Consumer Protection Act (TCPA) requires prior written consent before sending automated text messages. You, the Subscriber, are solely responsible for obtaining and maintaining valid TCPA-compliant consent from every End Member you add to your Ridge Messaging account.

This responsibility includes:

• Ensuring each End Member has provided express written consent to receive SMS messages from your organization before you add them to the platform
• Maintaining records of how and when consent was obtained
• Immediately removing any End Member from your list upon their request
• Not re-adding any End Member who has opted out without obtaining new, explicit consent
• Ensuring your message content matches the purpose for which consent was obtained

Ridge Messaging provides consent tracking tools to assist you in maintaining compliance records, but the legal obligation to obtain consent rests entirely with you as the Subscriber. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All data categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

4a. End Member Opt-In Process

End Members join a Subscriber's SMS list by completing a web-based registration form provided by their organization. The mobile phone number field is optional — End Members may register without providing a phone number, though a phone number is required to receive SMS messages. The form requires the End Member to:

• Enter their first name and last name (required)
• Optionally enter their mobile phone number and/or email address
• Manually check an unchecked SMS consent checkbox (required only if a mobile number is provided) acknowledging they agree to receive recurring automated SMS messages from the organization. This checkbox includes the following disclosure: "I agree to receive recurring automated SMS alerts from [Organization Name] via Ridge Messaging (operated by Mayberry Ridge LLC), including event alerts, scheduling updates, and announcements. Message frequency varies. Msg & data rates may apply. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Reply STOP to unsubscribe at any time. Reply HELP for help."
• Manually check a separate unchecked checkbox confirming they have read and agree to the Ridge Messaging Terms of Service and Privacy Policy

Neither checkbox is pre-checked. The SMS consent checkbox and the Terms & Privacy Policy checkbox are separate and distinct — consent to receive SMS messages is never bundled with agreement to terms. Opting in to SMS messaging is not required to complete registration. No SMS messages are sent to an End Member prior to completing the SMS opt-in. Consent timestamp and method are recorded and stored in the platform.

5. Opt-Out and STOP Handling

Ridge Messaging automatically processes opt-out requests. When an End Member replies STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT, that number is immediately and permanently suppressed from all future messages on the Platform. Reply HELP at any time for assistance.

Subscribers must not attempt to contact opted-out End Members through any means that would circumvent this suppression, including manual outreach using data exported from the Platform. Violations may result in immediate account termination.

Carriers are not liable for any delayed or undelivered messages.

6. Content Restrictions

All messages sent through the Platform must comply with the content guidelines established by CTIA and The Campaign Registry (TCR). Prohibited content categories include but are not limited to:

• Adult content or sexually explicit material
• Cannabis, CBD, or controlled substance promotion
• Firearms, ammunition, or weapons
• Hate speech, harassment, or discriminatory content
• Deceptive, misleading, or fraudulent content
• Phishing or malware distribution

Every message must identify the sending organization at the start of the message (e.g., "Valley Track Club:"). Messages must not use URL shorteners such as bit.ly or tinyurl, as these are flagged as spam by carriers.

7. Payment and Billing

Subscription fees are billed monthly or annually in advance. By providing payment information, you authorize Mayberry Ridge LLC to charge your payment method for the applicable subscription fee and any overage charges incurred.

Overage SMS charges are billed automatically via Stripe when your monthly SMS cap is exceeded, in accordance with the overage rates published on our pricing page.

All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' written notice to active Subscribers.

8. Suspension and Termination

We reserve the right to suspend or terminate your account immediately and without refund if:

• You violate these Terms, including the Acceptable Use Policy or TCPA compliance requirements
• Your account is associated with spam complaints, carrier blocks, or regulatory investigation
• Your payment fails and is not resolved within 7 days
• We determine, in our sole discretion, that continued service poses legal, regulatory, or reputational risk

You may cancel your account at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mayberry Ridge LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:

• Your use of the Platform
• Your violation of these Terms
• Your failure to obtain valid TCPA consent from End Members
• Any claim by an End Member arising from messages you sent through the Platform
• Your Content or your organization's use of any data obtained through the Platform

10. Limitation of Liability

To the maximum extent permitted by applicable law, Mayberry Ridge LLC's total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to Ridge Messaging in the three (3) months immediately preceding the claim.

In no event shall Mayberry Ridge LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.

13. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes by email to the address on your account or by posting a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
